Strategy as an Active Investor |
In addition, SPG pursues an active corporate
governance strategy in its contacts with companies in its
portfolio:
- SPG portfolio companies that have completed the industry-specific
online questionnaire receive a detailed benchmarking report
from the investment advisor SAM Sustainable Asset Management.
- If requested, SPG maintains an active dialogue with companies
that show potential for improvement in specific sustainability-relevant
areas.
- SPG keeps all the companies in its portfolio informed
about the size of its holding and the active exercising
of its voting rights (proxy voting).
- SPG is committed to exercising all its voting rights at
the respective AGMs. It applies the following principles
when exercising these voting rights:
- Studying the agenda and proposals of the Board of
Directors and comparing them with SPG's
Proxy Voting Guidelines.
- Where proposals do conform to SPG guidelines, voting
in favour of the Board of Directors' resolutions, otherwise
voting against them or abstaining.
Sustainable Performance Group is one of the
first investment companies to show its commitment in the field
of corporate governance for its portfolio companies, by entering
a collaboration in summer 2004 with Institutional Shareholder
Services (ISS), a leading US provider of voting rights services.
This collaboration gives us permanent access to information
on the shareholder meetings of the companies in our portfolio,
making sure we are able to exercise all our voting rights
fully, punctually and in accordance with sustainable principles.
